Terms of Service

These Terms of Service ("Terms") govern your access to and use of InGen Marketing and the Ginny AI marketing assistant, the InGen OS dashboard, and all related services (collectively, the "Platform"), operated by InGen AI Company, LLC ("InGen," "we," "us," or "our"). By creating an account or using the Platform, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Platform Overview

InGen Marketing provides an AI-powered marketing operating system. Ginny develops and executes content strategy, drafts marketing materials, manages editorial workflows, and — when you connect your own social media accounts — publishes approved content on your behalf. The InGen OS dashboard is the web interface for managing your content matrix, editorial calendar, approval queue, analytics, and integrations.

2. Account Registration

2.1 Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement. If you register on behalf of a business, you represent that you have authority to bind that entity to these Terms.

2.2 Registration Information

You will provide information about your business necessary for Ginny to deliver effective marketing services, and you agree that all information provided is accurate and current.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and agree to notify InGen immediately of any unauthorized use of your account.

3. Connected Social Media Accounts

The Platform lets you connect Facebook Pages and Instagram Business accounts that you own or administer. When you connect an account, you authorize InGen to access and use the data and permissions you grant solely to publish and manage content on your behalf, consistent with our Privacy Policy and with Meta's Platform Terms and applicable policies. You are responsible for ensuring you have the right to connect and publish to any account you add, and for the content you approve for publication. You may disconnect any account at any time from your dashboard.

4. Subscription and Billing

Access to the Platform requires a paid subscription. Subscription fees are billed via Stripe on a recurring basis until you cancel. You may cancel at any time and retain access through the end of your current billing period. No refunds are issued for partial billing periods. InGen reserves the right to modify pricing with 30 days' advance notice.

5. Data Ownership and Intellectual Property

5.1 Your Content

You retain full ownership of all content you provide to the Platform and all content generated by Ginny on your behalf, including blog posts, social media content, email campaigns, and creative assets.

5.2 License to InGen

You grant InGen a limited, non-exclusive, non-transferable license to process your content solely to provide the Platform services. This license terminates when your subscription ends and your data is deleted.

5.3 InGen Intellectual Property

The Platform, including its software, design, workflows, and AI configurations, is the intellectual property of InGen AI Company, LLC. Your subscription grants a right to use the Platform, not ownership of any underlying technology.

6. Data Isolation

Each client account operates in complete isolation. Your data, conversations, content, analytics, and configurations are scoped exclusively to your account. No other client can access your data, and your data is never used to train or inform services provided to other clients.

7. Acceptable Use

You agree not to use the Platform to generate content that is illegal, fraudulent, defamatory, or harmful; to violate any laws, regulations, or third-party rights; to violate Meta's platform policies when publishing to Facebook or Instagram; to access other clients' data or bypass security measures; to reverse engineer the Platform; or for any purpose other than legitimate business marketing activities. InGen reserves the right to suspend or terminate accounts that violate these Terms.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available." Ginny provides guidance and generates content based on the information you provide. InGen does not guarantee specific marketing outcomes, revenue increases, or lead generation results. Marketing results depend on numerous factors beyond the Platform's control.

9. Limitation of Liability

To the maximum extent permitted by law, InGen's total liability for any claims arising from your use of the Platform shall not exceed the total subscription fees you have paid in the twelve (12) months preceding the claim. InGen shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Termination

You may terminate your account at any time by canceling your subscription and contacting kyle@theingencorporation.com. InGen may terminate or suspend your account for violation of these Terms, non-payment, or at our discretion with notice. Upon termination, your data is handled as described in our Privacy Policy and Data Deletion Instructions.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 14 days before they take effect.
